About Odoie
“Odoie”, “we”, “us” and “our” mean Israr Gul, sole proprietor trading as Odoie in Karachi, Pakistan. Odoie provides professional services including Odoo implementation, development, migration, integrations, Python and mobile engineering, practical AI workflows, support and technical consulting.
“Customer”, “you” and “your” mean the person or organisation using this website, requesting a quotation, purchasing a service, or entering an engagement with Odoie.
Scope and acceptance
These terms apply to the Odoie website, enquiries, quotations, invoices, online payments and services unless a signed agreement says otherwise. By submitting an enquiry, accepting a quotation, paying an invoice or using a deliverable, you confirm that you are authorised to act for the named customer and agree to the applicable terms.
Website information is general and is not a binding offer. A service becomes binding only when Odoie accepts the order in writing, both sides sign an engagement document, or Odoie confirms the paid service.
Proposals and engagements
An engagement document should identify, as applicable:
- the service scope, exclusions and assumptions;
- deliverables, milestones and acceptance criteria;
- customer dependencies, access and responsible contacts;
- fees, taxes, payment schedule and expected delivery window;
- support, warranty, ownership and licensing arrangements.
Estimates are based on information available when issued. Work outside the agreed scope requires written approval and may change fees or timelines. Odoie does not accept personal transfers, unrelated funds, or payments without a genuine invoice or agreed service.
Customer responsibilities
You agree to:
- provide accurate requirements, lawful instructions and timely decisions;
- provide authorised access, test data and qualified users where required;
- maintain backups and appropriate security for systems you control;
- review deliverables and report reproducible issues promptly;
- obtain rights and permissions for all data, content and software you provide;
- not request unlawful, deceptive, harmful or unauthorised activity.
Never send passwords, private keys, full card details or sensitive production data through a public website form or ordinary email. Secure access arrangements will be agreed when needed.
Fees, invoices and taxes
Fees, currency and due dates appear in the relevant quotation or invoice. Unless stated otherwise, third-party licences, hosting, infrastructure, marketplace charges, bank charges and applicable taxes are not included. Customers remain responsible for taxes or withholding obligations applicable to them and must provide evidence of any lawful withholding.
Payments may be processed by an approved payment provider or bank. The payment provider may apply its own customer terms. Odoie does not store complete payment-card numbers or CVV data. A payment is credited only after it is confirmed and not reversed, disputed or found fraudulent.
An advance or capacity-reservation fee is non-refundable only when that status is clearly disclosed before payment and recorded in the quotation or invoice. Other cancellations and refunds follow the Refund & Cancellation Policy.
Delivery and acceptance
Odoie delivers services remotely. Deliverables may be provided through email, a source-code repository, the customer’s Odoo environment, secure file transfer, deployment, documentation, a meeting or another agreed digital channel. There is no physical shipping unless a signed engagement document expressly says so.
The customer must review a milestone within the review period stated in the engagement document, or within five business days if none is stated. A rejection must identify the unmet acceptance criterion and enough detail to reproduce the issue. Silence alone will not waive mandatory consumer rights, but Odoie may treat the milestone as operationally accepted for scheduling and invoicing after a reasonable reminder.
Changes and delays
Either side may request a change. Odoie will explain the likely effect on scope, price and schedule before starting material additional work. Delivery dates move reasonably when customer access, content, decisions, payments or third-party systems are delayed.
Neither side is responsible for delay caused by events beyond reasonable control, but the affected side must communicate promptly and take reasonable steps to reduce the impact.
Intellectual property
Each side keeps ownership of materials it owned before the engagement. Odoie also retains reusable methods, know-how, templates, frameworks, utilities and general-purpose components that do not disclose customer confidential information.
Ownership or licence rights for custom deliverables are defined in the engagement document and become effective after full payment. Open-source and third-party components remain subject to their own licences. Odoie will not publish a customer’s name, logo, confidential results or case study without permission.
Confidentiality and data
Each side will protect non-public information received from the other, use it only for the engagement, and disclose it only to people who need it and are bound by appropriate duties. This does not cover information already lawfully known, public without breach, independently developed, or required to be disclosed by law.
Personal information is handled under the Privacy Policy. Project-specific data protection, hosting, backup or retention requirements must be recorded in the engagement document. Odoie will not place customer confidential information into a public AI service without authorisation.
Third-party services
Odoo, cloud hosts, app stores, payment gateways, mobile platforms, couriers, APIs and other third-party services are controlled by their respective providers. Their availability, policies, pricing and changes are outside Odoie’s control. Odoie will use reasonable care in selecting and integrating agreed services but cannot guarantee their uninterrupted operation.
Warranties and support
Odoie will perform professional services with reasonable care and skill. During any stated warranty period, Odoie will investigate a reproducible failure to meet written acceptance criteria and, where it is attributable to Odoie’s work, use reasonable efforts to correct it.
A warranty does not cover changed requirements, unsupported customisation by others, customer misuse, missing dependencies, third-party failure, or environments materially different from those tested. No business, revenue, ranking, security or AI result is guaranteed unless expressly written in a signed document.
Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, or limits mandatory consumer rights. Subject to that, neither side is liable for indirect or consequential loss, loss of profit, opportunity or goodwill that was not reasonably foreseeable.
Odoie’s aggregate liability arising from an affected engagement is limited to the fees paid to Odoie for the affected service during the six months before the event giving rise to the claim. This limit does not apply to fraud, wilful misconduct, breach of confidentiality, infringement caused by a party’s own materials, or any liability that applicable law does not permit to be limited.
Suspension and termination
Either side may terminate as allowed by the engagement document. Odoie may suspend work after reasonable notice for overdue payment, unsafe or unlawful instructions, material security risk, or a material breach that is not corrected within a reasonable period.
On termination, the customer must pay for accepted work, work properly completed up to the termination date, and authorised non-cancellable costs. Odoie will provide paid-for deliverables and reasonably assist with an agreed handover. Clauses intended to survive—including payment, confidentiality, intellectual property and liability—continue.
Law, complaints and contact
These terms are governed by the laws of Pakistan. Subject to mandatory consumer rights and any agreed dispute process, courts of competent jurisdiction in Karachi, Sindh may hear disputes. The parties should first try to resolve a concern through Odoie’s documented complaint process.
Odoie may update these website terms for future use. Material changes do not rewrite an already signed engagement unless both sides agree.
